1. Agreement
These Terms of Service (“Terms”) are a legal agreement between you and Ideaexec Solutions and Services Canada Inc. (doing business as FlowBlinq). By accessing or using our website at www.flowblinq.com or any of our services, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and the FlowBlinq End User License Agreement (“EULA”), which is incorporated herein by reference.
Access to the Service requires you to affirmatively accept the EULA via a click-wrap mechanism prior to first use. Continued use of the Service following any notified update to these Terms or the EULA constitutes your acceptance of the updated terms.
If you're agreeing on behalf of a company, you represent that you have the authority to bind that company. If you do not agree to these Terms, do not use our services.
2. What We Offer
FlowBlinq is an AI visibility and AI commerce platform. Our services (collectively, the “Service”) include:
- ●Website — information about our platform, blog content, and resources
- ●AI Visibility Audit — analysis of how AI models cite and reference your brand, including share-of-voice scoring, competitor benchmarking, and citation tracking across ChatGPT, Perplexity, Gemini, and Claude
- ●Social media scanning — competitive positioning insights and sentiment analysis
- ●AI Commerce integrations — multi-protocol endpoint builds for selling through AI agents
- ●Contact and inquiry forms — ways to get in touch with us
Paid services are governed by these Terms, the EULA, and any applicable Order Forms or service agreements.
3. Audit Reports and Scan Results
All reports, scan results, scores, recommendations, and analyses generated by the Service (collectively, “Audit Reports”) are provided for informational and reference purposes only. Audit Reports do not constitute professional legal, financial, technical, or compliance advice.
By requesting or using an Audit Report:
- ●You agree to provide accurate information about your website and business
- ●You understand that FlowBlinq does not warrant or guarantee the accuracy, completeness, timeliness, or fitness for any particular purpose of any Audit Report, and expressly disclaims any such warranties to the maximum extent permitted by law
- ●Audit Reports reflect data available at the time of the scan and may not account for subsequent changes. The absence of a finding does not imply compliance or the absence of risk
- ●You rely on Audit Reports entirely at your own risk. FlowBlinq shall not be liable for any loss, damage, or liability arising from your or any third party's reliance on an Audit Report
- ●You must not distribute or publish Audit Reports in a manner that implies FlowBlinq has made representations about the accuracy of the underlying data or guaranteed specific outcomes
- ●FlowBlinq is under no obligation to disclose the methodologies, algorithms, or data sources underlying any Audit Report. Any such methodologies constitute Confidential Information and proprietary Intellectual Property of FlowBlinq
- ●Audit data is retained for up to 12 months. You can request deletion at any time by emailing legal@flowblinq.com
We may limit, modify, or discontinue audits at any time without notice. A free audit does not create a subscription or ongoing service relationship.
4. Your Content
Ownership
You retain all ownership rights to any information you provide us — business data, catalog information, audit submissions, messages. We don't claim ownership of your content.
License to us
By providing information (through forms, audits, or email), you grant us a non-exclusive, royalty-free license to use that information solely to deliver our services to you. For audit requests, this includes scanning your publicly available website to generate your report.
Your responsibility
You represent that you have the right to share the information you provide, that it's accurate, and that it doesn't infringe on anyone else's intellectual property.
Feedback
Any feedback, suggestions, or ideas you provide regarding the Service (“Feedback”) may be used by FlowBlinq without restriction or compensation to you. FlowBlinq will not be required to maintain confidentiality of Feedback.
5. Our Intellectual Property
The FlowBlinq platform, including all source code, algorithms, scanning methodologies, scoring models, trade secrets, and related documentation (collectively, the “FlowBlinq IP”), is the exclusive proprietary Intellectual Property of Ideaexec Solutions and Services Canada Inc. No use of the Service, review of Audit Reports, or access to any Service output grants you or any third party any ownership of, licence to, or right to reverse-engineer the FlowBlinq IP.
You must not:
- ✗Attempt to derive, reconstruct, or replicate any algorithms or methodologies underlying the Service from Audit Reports or other outputs
- ✗Use Audit Reports to benchmark, audit, or evaluate the Service for competitive or publication purposes without FlowBlinq's prior written consent
- ✗Claim ownership of any modifications, improvements, or derivative works based on the Service without a separate written agreement
All rights not expressly granted to you under these Terms are reserved by Ideaexec Solutions and Services Canada Inc.
6. Acceptable Use
You agree not to:
- ✗Use our services for anything unlawful
- ✗Submit false or misleading information
- ✗Attempt to reverse engineer or extract source code from our platform
- ✗Interfere with the performance or security of our services
- ✗Use automated tools to scrape or abuse the site
- ✗Resell access to our services without our consent
We can suspend or terminate access for violations.
7. Warranty Disclaimer
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the Service will be uninterrupted, error-free, or secure.
FlowBlinq does not warrant that Audit Reports are accurate, complete, or suitable for any particular use. We do not warrant that:
- ●The Service will be uninterrupted, error-free, or secure
- ●Your products will appear in any AI agent's responses (AI agents make independent decisions about what to recommend)
- ●Use of our services will result in increased traffic, sales, or revenue
- ●Third-party AI platforms will maintain their current protocols or availability
- ●Audit Reports will identify all issues, vulnerabilities, or compliance gaps on your website or social media properties
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall FlowBlinq be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to these Terms or the Service, even if FlowBlinq has been advised of the possibility of such damages.
FlowBlinq's total cumulative liability to you under or related to these Terms shall not exceed the greater of: (a) the amounts paid by you to FlowBlinq in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred Canadian dollars (CAD $100).
This limitation applies to all claims, including claims based on contract, tort, strict liability, or any other legal theory, and including claims based on Audit Reports or Service outputs.
9. Indemnification
You agree to defend, indemnify, and hold harmless Ideaexec Solutions and Services Canada Inc. and its officers, directors, employees, contractors, and agents from and against any and all claims, demands, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- ●Your use or misuse of the Service or any Audit Report
- ●Any third party's use of an Audit Report that you have shared, published, distributed, or made available
- ●Your breach of these Terms or any applicable law or regulation
- ●Any claim that User Data submitted by you infringes or misappropriates any third-party rights
- ●Any false or misleading representation you make to a third party regarding an Audit Report or the Service
This indemnification obligation survives termination of your account or these Terms.
10. Confidentiality
Each party agrees to hold the other party's Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information (but in no event less than reasonable care), and not to disclose such Confidential Information to any third party without the prior written consent of the disclosing party, except to those of its employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those in this section.
FlowBlinq designates all non-public technical, business, and commercial information disclosed in connection with the Service as Confidential Information. All information formally designated as “Confidential” by either party in writing will receive full protection under this section.
Confidentiality obligations survive termination of these Terms for a period of five (5) years.
11. Data Protection
FlowBlinq processes personal data in accordance with its Privacy Policy and applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial equivalents.
You are responsible for ensuring that all personal data submitted to the Service has been lawfully collected and that all necessary consents have been obtained under applicable law.
FlowBlinq implements commercially reasonable technical and organisational measures to protect User Data against unauthorised access, loss, or disclosure. FlowBlinq disclaims liability for security incidents arising from vulnerabilities in third-party services or from your own systems or devices.
12. Termination
You can stop using our services at any time. We may suspend or terminate your access if you breach these Terms, engage in fraud, or if required by law.
Upon termination: (a) all licences granted under these Terms will immediately terminate; (b) you must cease all use of the Service; and (c) we will delete your data within 30 days unless required to retain it by law. Sections 3, 5, 7, 8, 9, 10, 11, and 12(c) survive termination.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Any dispute arising out of or in connection with these Terms shall first be submitted to informal negotiation between senior representatives of the parties for a period of thirty (30) days. If not resolved, the dispute shall be referred to binding arbitration or the courts of Ontario, Canada.
Nothing in this clause prevents either party from seeking injunctive or other equitable relief from any court of competent jurisdiction to protect its Intellectual Property or Confidential Information. The parties expressly waive any objection to the jurisdiction of Ontario courts on grounds of inconvenient forum.
14. Changes to These Terms
We may update these Terms from time to time. We'll update the date at the top and provide at least fourteen (14) days' prior notice by email or prominent in-app notice of material changes.
If FlowBlinq materially amends the EULA, re-acceptance via click-wrap will be required before continued use. Continued use after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the services.
15. General
Entire agreement: These Terms, together with our Privacy Policy and EULA, constitute the entire agreement between you and FlowBlinq. Paid services may be governed by additional Order Forms or service agreements.
Severability: If any provision is unenforceable, the rest stays in effect.
Waiver: Not exercising a right doesn't waive it.
Assignment: You can't assign these Terms. We can in connection with a merger or acquisition.
Force majeure: We're not liable for failures due to causes beyond our reasonable control.
