By clicking “I Accept,” checking the acceptance box on the FlowBlinq login or onboarding page, or by accessing or using the FlowBlinq Service, you agree to be bound by this End User License Agreement. If you do not agree, do not use the Service.
1. Parties and Definitions
This End User License Agreement (“Agreement” or “EULA”) is entered into between Ideaexec Solutions and Services Canada Inc. (doing business as FlowBlinq) (“FlowBlinq,” “we,” “us,” or “our”), and the individual or legal entity accessing or using the FlowBlinq platform (“User,” “you,” or “your”).
The FlowBlinq web-based platform, including its website audit tool, social media scanning functionality, analytics dashboards, APIs, and any related software, documentation, or updates.
Any output, report, scan result, score, recommendation, or analysis generated by the Service based on User-supplied or User-authorised data.
Data, content, credentials, URLs, or other information submitted by or on behalf of a User to the Service.
Any non-public technical, business, or operational information disclosed by either party that is designated as confidential or that a reasonable person would understand to be confidential.
All patents, copyrights, trademarks, trade secrets, database rights, and any other intellectual or industrial property rights, registered or unregistered.
2. Licence Grant
Subject to your full compliance with this Agreement and timely payment of any applicable fees, FlowBlinq grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your internal business purposes during the subscription term.
2.1 Restrictions
You must not, and must not permit any third party to:
- ✗Copy, modify, adapt, translate, reverse-engineer, decompile, disassemble, or create derivative works of any part of the Service or its underlying software.
- ✗Remove, alter, or obscure any proprietary notices, labels, or marks on the Service.
- ✗Use the Service to build a competing product or service, or to benchmark the Service for publication without FlowBlinq's prior written consent.
- ✗Sell, resell, rent, lease, sublicense, assign, or otherwise transfer rights to the Service.
- ✗Access the Service through automated means (bots, scrapers, crawlers) except through officially documented API integrations.
- ✗Use the Service to process or store data in a manner that violates applicable law, including PIPEDA, GDPR, or equivalent privacy legislation.
2.2 Reservation of Rights
All rights not expressly granted in this Agreement are reserved by FlowBlinq. This Agreement does not transfer any ownership of the Service, its underlying technology, or any Intellectual Property therein.
3. Intellectual Property Ownership
3.1 FlowBlinq (and its licensors) retains exclusive ownership of all Intellectual Property in the Service, including all source code, algorithms, methodologies, trade secrets, and proprietary processes used to generate Audit Reports.
3.2 You retain ownership of all User Data you submit to the Service. You grant FlowBlinq a limited, non-exclusive, worldwide licence to process User Data solely to the extent necessary to provide the Service.
3.3 Any feedback, suggestions, or ideas you provide regarding the Service may be used by FlowBlinq without restriction or compensation to you.
3.4 FlowBlinq hereby formally declares that the FlowBlinq platform, including its audit engine, scoring models, and scanning infrastructure, constitutes proprietary Intellectual Property owned exclusively by FlowBlinq. No party may claim ownership of or seek to derive the underlying technology through use of Audit Reports or other Service outputs.
4. Audit Reports — Informational Disclaimer
Important Disclaimer — Audit Reports and Scan Results
ALL AUDIT REPORTS, SCAN RESULTS, SCORES, AND RECOMMENDATIONS PROVIDED BY THE SERVICE ARE FOR INFORMATIONAL AND REFERENCE PURPOSES ONLY. THEY DO NOT CONSTITUTE PROFESSIONAL LEGAL, FINANCIAL, TECHNICAL, OR COMPLIANCE ADVICE.
FLOWBLINQ DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, TIMELINESS, OR FITNESS FOR ANY PARTICULAR PURPOSE OF ANY AUDIT REPORT. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. USERS RELY ON AUDIT REPORTS ENTIRELY AT THEIR OWN RISK.
4.1 Audit Reports reflect data available at the time the scan is conducted and may not account for subsequent changes to third-party websites, platforms, or regulatory requirements.
4.2 FlowBlinq does not warrant that Audit Reports will identify all issues, vulnerabilities, or compliance gaps. The absence of a finding does not imply compliance or absence of risk.
4.3 You are solely responsible for all decisions made and actions taken on the basis of an Audit Report. FlowBlinq expressly disclaims any liability arising from a User's reliance on, or third-party use of, any Audit Report.
4.4 You must not distribute or publish Audit Reports in a manner that implies FlowBlinq has guaranteed the accuracy of the underlying data or specific outcomes. FlowBlinq is under no obligation to disclose the methodologies or algorithms underlying any Audit Report.
5. Indemnification
5.1 You agree to defend, indemnify, and hold harmless FlowBlinq Inc. and its officers, directors, employees, contractors, and agents from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- ●Your use or misuse of the Service or any Audit Report.
- ●Any third party's use of an Audit Report that you have shared, published, or distributed.
- ●Your violation of this Agreement or any applicable law or regulation.
- ●Any claim that User Data infringes or misappropriates a third party's Intellectual Property or privacy rights.
- ●Any claim by a third party arising from actions taken, or not taken, in reliance on an Audit Report.
- ●Any false, misleading, or inaccurate representation you make to a third party regarding an Audit Report or the Service.
5.2 FlowBlinq will provide prompt notice of any claim, and you will have sole control of the defence subject to FlowBlinq's consent for any settlement that imposes obligations on FlowBlinq. Your indemnification obligations survive termination of this Agreement.
6. Representations, Warranties, and Disclaimers
6.1 Your Representations
You represent and warrant that: (a) you have the legal authority to enter into this Agreement; (b) you will use the Service only for lawful purposes; (c) you have obtained all necessary rights, licences, and consents to submit User Data to the Service; and (d) User Data does not contain unlawful content.
6.2 FlowBlinq Disclaimer
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the Service will be uninterrupted, error-free, or secure.
7. Limitation of Liability
7.1 In no event shall FlowBlinq be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility of such damages.
7.2 FlowBlinq's total cumulative liability to you shall not exceed the greater of: (a) the amounts paid by you to FlowBlinq in the twelve (12) months immediately preceding the claim; or (b) one hundred Canadian dollars (CAD $100).
7.3 These limitations apply regardless of the form of action — whether in contract, tort, strict liability, or otherwise — and are a fundamental element of the basis of the bargain between FlowBlinq and you.
8. Confidentiality
8.1 Each party agrees to hold the other party's Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information (but no less than reasonable care), and not to disclose it to any third party without prior written consent.
8.2 All information formally designated as “Confidential” by either party in writing will receive full protection under this Section.
8.3 Confidentiality obligations survive termination of this Agreement for a period of five (5) years.
9. Data Protection and Privacy
9.1 FlowBlinq will process personal data included in User Data in accordance with its Privacy Policy and applicable privacy legislation, including Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and any provincial equivalents.
9.2 You are responsible for ensuring that any personal data submitted to the Service is collected, shared, and processed in accordance with applicable privacy laws and that all necessary consents are in place.
9.3 FlowBlinq implements industry-standard technical and organisational security measures to protect User Data. FlowBlinq disclaims all liability for security incidents arising from vulnerabilities in third-party services or from a User's own systems.
10. Term and Termination
10.1 This Agreement commences on the date you first accept it and continues for the duration of your subscription, or until terminated.
10.2 FlowBlinq may suspend or terminate your access immediately, without notice or liability, if: (a) you breach any material provision of this Agreement; (b) FlowBlinq reasonably believes you have engaged in fraudulent or unlawful conduct; or (c) FlowBlinq discontinues the Service.
10.3 You may terminate this Agreement at any time by ceasing use of the Service and deleting all downloaded materials.
10.4 Upon termination, all licences immediately terminate. Sections 3, 4, 5, 6, 7, 8, 9, 10.4, and 11 survive termination.
11. Governing Law and Dispute Resolution
11.1 This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
11.2 The parties agree to first attempt to resolve any dispute informally by escalating to senior representatives for thirty (30) days. If unresolved, the dispute may be referred to binding arbitration or the courts of Ontario, Canada.
11.3 Nothing in this Section prevents either party from seeking injunctive or other equitable relief to protect its Intellectual Property or Confidential Information.
12. Acceptance and Consent Storage
12.1 FlowBlinq requires each User to affirmatively accept this Agreement via a click-wrap mechanism (checkbox or “I Accept” button) prior to their first login and upon each material update to this Agreement.
12.2 FlowBlinq will log and store: (a) the User's identifier; (b) the version of this Agreement accepted; (c) the timestamp of acceptance; and (d) the IP address and device used at the time of acceptance, as evidence of informed consent.
12.3 If FlowBlinq materially amends this Agreement, it will provide at least fourteen (14) days' prior notice by email or prominent in-app notice, and require re-acceptance before continued use.
13. General Provisions
Entire Agreement: This Agreement, together with FlowBlinq's Privacy Policy and Terms of Service, constitutes the entire agreement between the parties and supersedes all prior agreements and representations.
Severability: If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it valid, and the remaining provisions continue in full force.
Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
Assignment: You may not assign or transfer your rights or obligations without FlowBlinq's prior written consent. FlowBlinq may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.
Notices: Notices under this Agreement shall be in writing and sent to legal@flowblinq.com (FlowBlinq) or to the email address associated with your account (User).
Language: This Agreement is drafted in English. If translated, the English version controls in the event of any conflict.
